Five Sullivan & Cromwell Partners Named Law360 Rising Stars

Law360 has named five Sullivan & Cromwell partners as “Rising Stars” – lawyers under 40 whose legal achievements are beyond their age. The partners were selected from more than 1,300 submissions.

Alan Fishman in Capital Markets

As a partner in S&C’s Capital Markets Group, Alan has advised on some of the largest and most sophisticated capital markets, financing and restructuring transactions in recent years. In AT&T’s combination of WarnerMedia with Discovery, Alan advised AT&T on the WarnerMedia spin-off and its $30 billion senior notes offering. The bond offering was the largest in AT&T history and the largest investment grade corporate bond offering in 2022. Alan also advised on the capital markets and financing aspects of Canadian Pacific’s acquisition of Kansas City Southern and is active in S&C’s sovereign financing practice including advising the underwriters for the United Mexican States’ August 2022 registered offering of $2.2 billion Sustainable Development (SDG) Bonds. Brad King in life sciences

Brad is a partner in S&C’s Mergers & Acquisitions Group and has extensive experience advising companies on major life sciences deals. In the biopharmaceutical industry’s largest-ever cash acquisition, Brad Seagen advises on its $43 billion pending acquisition by Pfizer. The transaction is also the largest-ever acquisition of a pre-profit company in any industry. Last year, Brad Verily, the life sciences subsidiary of Alphabet (Google’s parent company), advised on two deals furthering its mission to advance data-driven healthcare: acquiring exclusive ownership of Granular Insurance Company, a precision risk coverage provider, and securing a $1 billion investment round led by Alphabet. Ken Li in banking

Ken’s practice focuses on advising bank holding companies and other US and non-US financial institutions, including insurance companies and asset managers, on a range of transactional and regulatory issues. His recent work as a partner in the firm’s Financial Services Group includes leading the deal team, advising JPMorgan on the acquisition of investment analytics provider Aumni, and guiding Credit Suisse through its recently closed combination with UBS and a series of transactions to Credit Suisse’s Securitized Products business. Jameson Lloyd in Taxation

Jameson, the youngest partner in S&C’s Tax Group, has played a key role in many of the firm’s largest and most innovative transactions, often acting as a key liaison with clients. In one of the most high-profile and complex bankruptcy cases ever, Jameson is part of the S&C team advising FTX and more than 100 affiliates on complex tax matters in the wake of FTX’s November 2022 bankruptcy filing. This unprecedented filing led to numerous new and challenging tax issues. Jameson also played a key role in the S&C team that advised AT&T on combining its WarnerMedia business with Discovery through an all-stock, “Reverse Morris Trust” transaction, the largest Reverse Morris Trust transaction in history. Nick Menillo of Insurance

Nick is a litigation partner and co-head of S&C’s insurance coverage practice. Nick has a versatile litigation practice that spans both civil and criminal litigation cases in a variety of areas. He uses his generalist experience to advise clients on insurance coverage issues in the context of both litigation and transactions. For example, Nick advises multiple financial institutions, including SVB Financial Group, the parent company of Silicon Valley Bank, and First Republic Bank, on complex insurance-related issues that arose during the recent US banking crisis. Nick also advises the FTX debtors on insurance matters in post-collapse bankruptcy proceedings. He also advised Mitsubishi UFJ Financial Group on cybersecurity and other insurance issues in the multibillion-dollar sale of its MUFG Union Bank to US Bancorp, the largest banking deal announced in 2021.
